Filing Data with the KRS"},"content":{"rendered":"<p>Every company, during its operations, has encountered the need to make changes. These changes can involve anything, such as amendments to the company&#8217;s articles of association, change of legal address, change of director, changes in the list of founders, etc. If the company is developing rapidly, such changes may be made several times a&nbsp;year. In today&#8217;s article, we will discuss the changes that are mandatory to register with the controlling authorities of Poland, such as the KRS.<\/p>\n<p><strong>KRS (Krajowy Rejestr S\u0105dowy) \u2014 National Court Register in Poland<\/strong><br \/>\nThe register contains all types of business entities and insolvent debtors.<br \/>\nThe main purpose of the register is to provide information about the legal status of a&nbsp;registered entity, its financial situation, and its representatives.<br \/>\nThe KRS stores data such as:<\/p>\n<ul>\n<li>REGON number;<\/li>\n<li>NIP number;<\/li>\n<li>KRS number;<\/li>\n<li>the company&#8217;s registered address, etc.<\/li>\n<\/ul>\n<p>When opening any form of enterprise in Poland, registration in the KRS register is mandatory. This can be done online on the official register portal.<\/p>\n<p><strong><a href=\"https:\/\/progressholding.pl\/en\/usluga\/changes-in-the-register-of-companies-krs\/\">Changing legal data of a&nbsp;company in Poland in the KRS<\/a> (National Court Register) is carried out as follows:<\/strong><\/p>\n<ol>\n<li><strong>Preparation<\/strong><br \/>\nDetermine which legal data needs to be changed.<br \/>\nPrepare the necessary documents confirming the changes (for example, minutes of the shareholders&#8217; meeting, articles of association).<br \/>\nPay the fee for registering changes in the KRS.<\/li>\n<li><strong>Filing the Application<\/strong><br \/>\nThe application for changing legal data can be submitted online through the Court Information Systems Portal (PSIC) or in person at the appropriate district court.<br \/>\nThe necessary documents must be attached to the application.<\/li>\n<li><strong>Court Review<\/strong><br \/>\nThe court will review the application and the attached documents.<br \/>\nIf everything is correct, the court will register the changes in the KRS.<\/li>\n<li><strong>Announcement<\/strong><br \/>\nThe changes will be published in the official bulletin <em>Monitor Polski<\/em>.<\/li>\n<li><strong>Receiving Confirmation<\/strong><br \/>\nAfter publication in <em>Monitor Polski<\/em>, you can obtain confirmation of registration of the changes from the court.<\/li>\n<\/ol>\n<p><strong>Documents required for the most common changes to legal data:<\/strong><\/p>\n<ul>\n<li><strong>Change of company name<\/strong> \u2014 minutes of the shareholders&#8217; meeting, company articles of association.<\/li>\n<li><strong>Change of company address<\/strong> \u2014 lease or purchase agreement of the premises.<\/li>\n<li><strong>Change of board members<\/strong> \u2014 minutes of the shareholders&#8217; meeting, extracts from the commercial register of board members.<\/li>\n<li><strong>Increase or decrease in share capital<\/strong> \u2014 minutes of the shareholders&#8217; meeting, financial statements.<\/li>\n<\/ul>\n<p><strong>Timeframes<\/strong><br \/>\nThe court must review the application within 7 days.<br \/>\nThe changes take effect from the moment they are published in <em>Monitor Polski<\/em>.<\/p>\n<p><strong>Cost<\/strong><br \/>\nThe fee for registering changes is 300 PLN (approximately 65 euros).<\/p>\n<p>If you have any questions on this topic or would like to clarify any information, write to us at <a href=\"mailto:office@progressholding.pl\" rel=\"noopener\">office@progressholding.pl<\/a>.<\/p>","protected":false},"excerpt":{"rendered":"<p>Every company, during its operations, has encountered the need to make changes.
