Changes to Legal Entity Data in Poland. Filing Data with the KRS
Every company, during its operations, has encountered the need to make changes. These changes can involve anything, such as amendments to the company’s articles of association, change of legal address, change of director, changes in the list of founders, etc. If the company is developing rapidly, such changes may be made several times a year. In today’s article, we will discuss the changes that are mandatory to register with the controlling authorities of Poland, such as the KRS.
KRS (Krajowy Rejestr Sądowy) — National Court Register in Poland
The register contains all types of business entities and insolvent debtors.
The main purpose of the register is to provide information about the legal status of a registered entity, its financial situation, and its representatives.
The KRS stores data such as:
- REGON number;
- NIP number;
- KRS number;
- the company’s registered address, etc.
When opening any form of enterprise in Poland, registration in the KRS register is mandatory. This can be done online on the official register portal.
Changing legal data of a company in Poland in the KRS (National Court Register) is carried out as follows:
- Preparation
Determine which legal data needs to be changed.
Prepare the necessary documents confirming the changes (for example, minutes of the shareholders’ meeting, articles of association).
Pay the fee for registering changes in the KRS. - Filing the Application
The application for changing legal data can be submitted online through the Court Information Systems Portal (PSIC) or in person at the appropriate district court.
The necessary documents must be attached to the application. - Court Review
The court will review the application and the attached documents.
If everything is correct, the court will register the changes in the KRS. - Announcement
The changes will be published in the official bulletin Monitor Polski. - Receiving Confirmation
After publication in Monitor Polski, you can obtain confirmation of registration of the changes from the court.
Documents required for the most common changes to legal data:
- Change of company name — minutes of the shareholders’ meeting, company articles of association.
- Change of company address — lease or purchase agreement of the premises.
- Change of board members — minutes of the shareholders’ meeting, extracts from the commercial register of board members.
- Increase or decrease in share capital — minutes of the shareholders’ meeting, financial statements.
Timeframes
The court must review the application within 7 days.
The changes take effect from the moment they are published in Monitor Polski.
Cost
The fee for registering changes is 300 PLN (approximately 65 euros).
