Introduction
Poland offers attractive conditions for doing business, and company registration here is simplified thanks to the S24 online platform. We will explain how to register a company in Poland online using the S24 system, describing in detail the necessary steps and documents.
Key Element: Trusted Profile (Profil Zaufany)
Before starting the registration process, you need a Trusted Profile (Profil Zaufany). This is a free electronic identifier that allows you to securely interact with Polish government institutions online. It confirms your identity and allows you to sign documents electronically. Obtaining a Trusted Profile is possible in several ways:
- Online: Through the website https://www.gov.pl/ You will need a signature (for example, a qualified certificate) or a visit to an identity verification point.
- At a service point: You can obtain a Trusted Profile by visiting one of the authorized points (for example, Poczta Polska service points).
IMPORTANT! Without a Trusted Profile, company registration through S24 is impossible. Make sure you have obtained it before starting the process.
Company Registration through S24
After obtaining a Trusted Profile, you can proceed to register a company through the S24 portal. The process is as follows:
1. Choosing the Company Type
Choose the legal form of your company (for example, spółka z ograniczoną odpowiedzialnością – Sp. z o.o. (LLC), spółka akcyjna – S.A. (JSC), jednoosobowa działalność gospodarcza – JDG (sole proprietorship)). The choice depends on your needs and business development plans.
2. Filling Out the Form
You will need to fill out a detailed form containing information about the company:
- Company name: Make sure the chosen name is available and complies with Polish legislation requirements.
- Legal address: This can be your home address or a rented office address.
- Scope of activity: Specify the types of activities your company will engage in (PKD codes).
- Share capital: Indicate the amount of share capital according to the chosen legal form.
- Founders/shareholders data: Provide complete information about all founders or shareholders (full name, addresses, PESEL numbers (Polish equivalent of TIN)).
- Manager/director data: Provide information about the person who will manage the company.
3. Uploading Documents
Depending on the type of company, you may need to upload additional documents, for example:
- Articles of association (if required): This document must be prepared in accordance with Polish legislation.
- Company establishment resolution: Some types of companies require an establishment resolution.
- Identity confirmation documents of founders/shareholders: For example, copies of passports or identity cards.
- Proof of share capital payment: This can be a bank statement.
Next, you need to provide information about co-owners – names, surnames, PESEL, residential address. Unfortunately, if the company has one owner, it cannot be registered through S24.
A separate form is filled out for company board members, which can be done in the documents section.
4. Electronic Signature
After filling out the form and uploading all necessary documents, you will need to sign the application using the Trusted Profile.
5. Submitting the Application
After signing, the application is automatically sent to the appropriate registry.
6. Receiving Registration Documents
After successful registration, you will receive electronic copies of registration documents confirming the creation of your company.
IMPORTANT! Some document forms for the court are not available on the S24 page, so the user needs to fill them out independently, sign them with a trusted profile, and send them to the court using the “Dodaj inny dokument” button.
Required Documents List:
- Agreement
- List of co-owners and their home addresses
- List of board members and their postal addresses
- Information that the owners are foreigners
- Information about share capital payment
Conclusion
Before starting the process, it is recommended to consult with a lawyer or accountant to ensure that you have chosen the correct legal form and that all documents are prepared correctly. Incorrect form filling may lead to delays or registration refusal.
It is also important to know that Polish legislation is constantly changing, so it is recommended to check current information on the official website of the Central Register and Information on Business (CEIDG) and on the gov.pl website.
