Company Registration in Poland through the S24 System: How Does It Work?

Company Registration in Poland through the S24 System: How Does It Work?

The S24 system is an electronic platform managed by the Polish Ministry of Justice that allows entrepreneurs to register companies, make changes to existing companies (such as changing the name, share capital, shareholders, etc.), and submit other legal documents electronically. The S24 system is the fastest and easiest way to create a company without the cumbersome collection of documentation and excessive time loss. Registration and submission of electronic documents are conducted online.

In this article, we will explain how the company registration process works step by step if you choose this system.

IMPORTANT! Before starting the registration of a company via the S24 system, you must create an ePUAP account and have an electronic signature. It is also important to have a social security identification number. Initially, this is not required (if you are a foreigner, a passport will suffice), but later in the company’s operations, it will be necessary.

To register a company in the S24 system, you will need the following data and documents:

  • Company name
  • Company statute
  • A list of the company’s founders with their data and signatures
  • Copies of the founders’ identification documents (passport or EU identity card)
  • Proof of payment of the state fee (if applicable)
  • Confirmation of the company’s legal address in Poland
  • Documents confirming the competence and reliability of the company’s managers (if applicable)
  • The company’s PKD (Polish Classification of Activities)
  • Information on the share capital and company shares

Basic Requirements:

  • The company must be registered according to Polish law
  • The company’s statute must include the following information: company’s purpose, address, share capital, details of the founders and managing bodies
  • The founders must be adults with full legal capacity
  • The company’s managers must meet the competency and reliability requirements set by Polish law

Registration Process:

  1. Create an S24 account: Go to the S24 website and click the “Register” button.
  2. Complete the registration form: Fill out the online form and attach the required documents.
  3. Verify your identity: Upload a copy of your ID.
  4. Provide the legal address: Submit proof of the company’s legal address in Poland.
  5. Pay the state fee: If necessary, pay the state fee through the S24 system.
  6. Wait for application processing: The application will be reviewed by the National Court Register (KRS).
  7. Receive the registration certificate: Upon successful registration, the company will receive a registration certificate from KRS.

Additional Information:

  • The cost of registering a company through the S24 system is 350 PLN (around 75 euros).
  • The registration process usually takes about 5-7 business days.
  • Foreign entrepreneurs can register companies in Poland remotely using the S24 system.
